General Terms of Service
Definitions
We provide the ability for organizations or their representatives ("Employers") to create job advertisements ("Job Ads") that are syndicated to various publications ("Publishers") through JavaScript ad codes ("Ad Strip"). This "Service" runs on software developed and hosted by Inedo, LLC, its subsidiaries and third party contractors ("Service Provider"). Job Ads are viewed by members of the public ("Readers"), who access any Publisher's web sites.
Acceptable Use
You may not attempt to hack us
Service may not be used for any unlawful purpose. Service may not be used in any way that will damage, overburden, or otherwise interfere with Service or any of its partners. No attempts may be made to breach Service's servers, network, database, or to reverse engineer Service Provider's software.
No Spam allowed
Service may not be used for sending or relaying unsolicited messages ("Spam").
No data harvesting allowed
Service may not be used to collect data about Employers, Publishers, Readers, or Service Provider's partners.
Software and documents may not be redistributed
No software, documents, and materials presented on Service's web site may be reproduced or redistributed without Service Provider's written approval. All materials on Service Provider's web site is provided "as is" without warranty of any kind.
Acceptance of terms
Use of Service constitutes agreement to Terms of Service.
Publisher Terms of Service Addendum
Your use of the service constitutes an agreement to these terms
By using the Service and becoming a member of our network of publishers (a "Publisher"), Publisher agrees to be bound by all terms and conditions of this agreement, and all policies and guidelines of the Service that are incorporated by reference.
We will email you when these terms change
Service Provider reserves the right to change any of the terms and conditions contained in this agreement or any policies or guidelines governing the Service, at any time and in its sole and absolute discretion. Service Provider will notify Publisher of these changes via email at least one week before prior the changes become effective. Publisher is responsible for reviewing any applicable changes. Publisher's continued use of the Service following constitutes Publisher's acceptance of such changes or modifications. If Publisher does not agree to any changes to this agreement, Publisher must terminate this agreement in accordance with the terms and conditions of this agreement.
You are not our employee
Publisher's relationship to Service Provider is one of an independent contractor and/or customer. No employer-employee, agency, joint venture, franchise, sales representative or partnership relationship is created by this agreement or Publisher's use of the Service.
Publisher Obligations
Only one ad per page, must be visible
Publisher's Ad Strip must appear immediately adjacent to content or editorial functionality. The Ad Strip must begin less than 400 pixels from the top of the Publisher's web page and may be posted only once per page. The customizable CSS may not be changed as to hide or otherwise remove from view any part of the Ad Strip.
You need to keep your registration information updated
Publisher shall provide Service Provider with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of this agreement, which may result in immediate termination of this agreement.
You may run other advertisements
Publisher may display advertising material from sources other than
Service Provider provided that:
all aforementioned conditions are met,
the web page with the Ad Strip is not preceded or followed by interstitial advertisements or prompt a pop-up advertisement,
and the other source is not a syndicated job advertisment.
No Spam allowed
Publisher may not send unsolicited e-mail ("spam") to attract Readers or Employers to Publisher's web site or Ad Strip. Publisher may, however, promote the Service in Publisher's normal editorial content.
No Fraudulent Activity
Service Provider reserves the right to monitor for fraudulent activity including, but not limited to, automated ad refreshing and using other means to artificially generate more ad impressions. Data about each ad impression served will be retained by Service Provider indefinitely and used for such analysis.
Your publication needs to stay on topic
Publisher acknowledges that Publisher's web site was reviewed at time of application for content releveant to Employers' job ads. If the Publisher's web site's overall content changes focus, Publisher agrees to notify the Service Provider of such change. Service Provider reserves the right to monitor and reclassify web sites within the Service at Service Provider's discretion.
Rates and Payments
We will pay you $5 USD per thousand impressions
Service Provider will record all requests for the Ad Strip JavaScript code from Visitors' web browsers. Service Provider will use the recorded requests to determine how many impressions the ad received.
An impression is counted when at least one paid-for Job Ad is displayed in the Ad Strip. Publisher will be paid five dollars for every thousand impressions of the Ad Strip.
We will pay you $100 USD of the listings you refer
Service Provider will track Visitors who click on Ad Strip links with a persistent cookie that contains Publisher's unique identifier code. Publisher will receive one-hundred dollars for each Job Ad created with this persistent cookie.
Discounts proportionally impact revenue
If the Employer participates in a promotion or otherwise negotiates a discount rate for job advertisements, Service Provider will apply the effective discount percentage to the five-dollar impression rate and one-hundred dollar referral bonus.
We will pay you each month via PayPal or Check
On the fifteenth day of each month where twenty-five dollars or more was earned and following the Publisher's first full month utilizing the Service, Service Provider will send payment to publisher via PayPal or Check, as indicated in the Publisher's registration information. Publisher assumes the responsibility for all service fees including, but not limited to, PayPal and Check Cashing fees, when processing payment.
Either of us may terminate this agreement
You can terminate this agreement at any time for any reason
Publisher may terminate this agreement for any reason or for no reason by notifying Service Provider via email. Any payment due will be remitted by Service Provider to the Publisher on the fifteenth day of the following month.

Service Provider may terminate this agreement for any reason or for no reason by notifying Publisher via email. If Publisher cannot be reached by email, Service Provider may terminate this agreement without any notice. Any payment due will be remitted by Service Provider to the Publisher on the fifteenth day of the following month.
This is the entire agreement
This agreement, along with the General Terms of Service and any other agreements provided in writing by Service Provider, constitutes the entire agreement between Publisher and Service Provider with respect to the subject matter hereof and there is no representations, understandings or agreements which are not fully expressed in this Agreement.
Employer Terms of Service Addendum

Employer Obligations
Listings must be accurate
Ads and Listings must accurately describe an open position that the Employer is authorized to post. No attempt may be made to lure potential employees with a deceptive salary or listing of benefits.
You may not attempt to change Listing code
Employer may not make any attempt to insert code in Ads or Listings. Noninteractive
HTML formatting code (for example, images, tables, text formatting) may be used in a Listing's long description, but can not be used to disrupt Service Provider's normal operation. No JavaScript, EMCAScript, or otherwise interactive script or code may be used in Ads or Listings.
You must be legitimate
Employer must have approval from the organization Employer represents to add Listings. Employer may not claim to represent an organization without the organization's approval.
You may not alter a listing for a different position
Listings may be edited after posting for corrections only. Employer may not edit a listing for a different position or make similar major changes.
Rates and Payments
Refund Policy
All listing purchases are final. If an error was made in a listing, Employer
may return to correct the listing prior to the listing's expiration. Refunds will only be given when Listing is removed by Service Provider for its violation of this agreement. Refunds will be issued in the payment form used to pay for the listing.
Either of us may terminate this agreement
You can terminate this agreement at any time for any reason
Employer may terminate this agreement for any reason or for no reason by notifying Service Provider via email. Any listings made by Employer will be taken offline immediately and no refund will be given.
We can terminate this agreement at any time for any reason
Service Provider may terminate this agreement for any reason or for no reason by notifying Employer via email. If Employer cannot be reached by email, Service Provider may terminate this agreement without any notice. Any active Listings will be removed from Provider's web site and fees for removed Listings will be refunded to Employer.
This is the entire agreement
